1. Introduction & Agreement

These Terms & Conditions (“Terms”) constitute a legally binding agreement between CODEGUARD HOST LLC (“Company,” “we,” “our,” “us”) and you (“Client,” “Customer,” “User”). By accessing, purchasing, subscribing to, or using any services provided by CODEGUARD HOST LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

1.2 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website 30 days prior to taking effect. Continued use of our services after modifications constitutes acceptance of the revised Terms.

1.3 Entire Agreement

These Terms, along with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and CODEGUARD HOST LLC.

2. Eligibility & Account Management

2.1 Eligibility Requirements

  • You must be at least 18 years old

  • You must have legal capacity to enter into binding contracts

  • You must provide accurate and complete registration information

  • Corporate entities must have authorized representative consent

2.2 Account Security

  • You are solely responsible for maintaining account confidentiality

  • You must immediately notify us of any unauthorized account use

  • We are not liable for losses resulting from unauthorized access due to your negligence

  • Multiple accounts for the same service are prohibited without written consent

2.3 Account Suspension & Termination

We reserve the right to suspend or terminate accounts for:

  • Violation of these Terms

  • Suspicious or fraudulent activity

  • Non-payment of fees

  • Illegal or abusive behavior

3. Detailed Service Specifications

3.1 Web Development & Design Services

3.1.1 Project Initiation

  • Development commences immediately upon full payment receipt

  • Project timeline begins upon payment confirmation

  • Client must provide all required materials within 7 business days of project start

3.1.2 Scope of Work

  • Deliverables are based on specifications agreed upon at purchase

  • Additional features or modifications requested after project commencement may incur extra charges

  • Third-party integrations are subject to API availability and compatibility

3.1.3 Client Responsibilities

  • Provide timely feedback (within 3 business days per revision cycle)

  • Supply all necessary content, images, and branding materials

  • Designate a single point of contact for project communication

3.1.4 Refund Policy

  • No refunds once development has commenced

  • Cancellation during development forfeits all payments made

  • Completed work remains the property of CODEGUARD HOST LLC

3.2 Web Hosting Solutions

3.2.1 Service Availability

  • We guarantee 99.9% uptime for hosting services

  • Scheduled maintenance will be communicated 48 hours in advance

  • Emergency maintenance may occur without prior notice

3.2.2 Billing & Cancellation

  • All hosting plans are prepaid (monthly or annually)

  • Automatic renewal unless cancelled 7 days before billing cycle

  • Cancellation stops future renewals; no prorated refunds for unused time

  • Data is permanently deleted 30 days after cancellation

3.2.3 Data Backup Policy

  • Clients are responsible for their own backups unless backup service is purchased

  • Backup services must be maintained continuously for protection

  • We are not liable for data loss under any circumstances

3.3 SEO Optimization Services

3.3.1 Performance Disclaimer

  • SEO results vary based on search engine algorithms, competition, and industry factors

  • We do not guarantee specific ranking positions or traffic numbers

  • Timeline for visible results typically ranges from 3-6 months

3.3.2 Client Cooperation

  • Clients must implement recommended on-site changes promptly

  • Access to analytics and search console accounts must be provided

  • Content creation and publication cooperation is essential for success

3.3.3 Reporting

  • Monthly performance reports provided

  • Strategy adjustments made based on performance data

  • Regular consultation calls included in service packages

3.4 RPA & Automation Services

3.4.1 Custom Development

  • Each automation solution is customized to client specifications

  • Development timeline depends on complexity (typically 2-8 weeks)

  • Client must provide access to necessary systems for integration

3.4.2 Maintenance & Support

  • Regular maintenance required for optimal performance

  • Additional fees apply for system modifications after deployment

  • Client is responsible for maintaining compatible software versions

3.4.3 Limitations

  • Automation efficiency depends on source system stability

  • We are not liable for third-party system changes affecting automation

  • Client must maintain appropriate software licenses

3.5 Smart Voice Systems & Calling Bots

3.5.1 Service Usage

  • All services are prepaid with no rollover of unused minutes

  • Usage is measured in 30-second increments

  • Minimum charge per call: 30 seconds

3.5.2 Telephony Compliance

  • Client is responsible for complying with TCPA, FTC, and other telemarketing laws

  • We reserve the right to suspend services for suspected illegal calling patterns

  • Proper consent documentation must be maintained by client

3.5.3 Service Credits

  • Credits expire 12 months from purchase date

  • No refunds for unused credits or minutes

  • Service interruptions beyond our control do not warrant credits or refunds

4. Payment Terms & Billing

4.1 Payment Methods

We accept:

  • Credit/Debit Cards (Visa, MasterCard, American Express)

  • PayPal

  • WooPayments

  • Apple Pay

  • Google Pay

  • Bank Transfers (for annual contracts over $1,000)

4.2 Billing Cycle

  • All services are billed in advance

  • Recurring payments are automatically charged

  • Failed payments result in immediate service suspension

  • Late payments may incur 1.5% monthly interest

4.3 Price Changes

  • We reserve the right to change pricing with 30 days notice

  • Existing contracts honor current pricing until renewal

  • Additional fees may apply for excessive resource usage

5. Comprehensive No Refund Policy

5.1 General Refund Policy

ALL SALES ARE FINAL. CODEGUARD HOST LLC does not offer refunds, credits, or exchanges under any circumstances for:

  • Services rendered or initiated

  • Digital products delivered

  • Subscription fees

  • Setup or installation charges

  • Prepaid balances or credits

5.2 Specific Non-Refundable Items

  • Development work once commenced

  • Hosting fees (partial or full)

  • SEO services (regardless of results)

  • Automation setup fees

  • Voice minutes and telephony credits

  • Add-ons and premium features

  • Domain registration fees

  • SSL certificates

5.3 Chargeback Policy

CHARGEBACKS ARE STRICTLY PROHIBITED. Initiating a chargeback constitutes:

  • Material breach of this Agreement

  • Immediate termination of all services

  • Forfeiture of all data and access

  • Legal action to recover amounts due plus $250 administrative fee

We will vigorously dispute all chargebacks and provide this Agreement as evidence of your acceptance of our no-refund policy.

6. Support & Communication Protocols

6.1 Support Channels

  • Primary: support@codeguardhost.com

  • Response Time: Within 24 business hours

  • Emergency Support: Available for additional fee

  • Business Hours: 9:00 AM – 6:00 PM CST, Monday-Friday

6.2 Support Scope

  • Troubleshooting service issues

  • Guidance on service usage

  • Basic configuration assistance

  • Documentation access

6.3 Excluded from Support

  • Custom code modifications

  • Third-party integration issues

  • Training on basic computer skills

  • Content creation or editing

7. Acceptable Use Policy

7.1 Prohibited Activities

You may not use our services for:

  • Illegal activities or content

  • Spam or unsolicited communications

  • Hacking or security breaches

  • Harassment or defamation

  • Copyright infringement

  • Malware distribution

  • Resource abuse (excessive CPU, bandwidth)

7.2 Telephony Restrictions

  • Robocalling without consent

  • Calling numbers on DNC lists

  • Misrepresentation of caller ID

  • Harassing or threatening calls

7.3 Enforcement

Violation of this policy may result in:

  • Immediate service suspension

  • Permanent termination without refund

  • Legal action and reporting to authorities

  • Liability for damages caused

8. Intellectual Property Rights

8.1 Company IP

CODEGUARD HOST LLC retains ownership of:

  • Source code and software

  • Automation scripts and workflows

  • Telephony systems and configurations

  • Proprietary methodologies

  • Branding and marketing materials

8.2 Client IP

Client retains ownership of:

  • Their business data and content

  • Client-provided branding materials

  • Custom content created by client

8.3 License Grants

We grant clients a non-exclusive, non-transferable license to use delivered services for their intended purpose only.

9. Limitation of Liability

9.1 Cap on Liability

Our total liability to you for any claim shall not exceed the amount you paid for the specific service giving rise to the claim during the three (3) months preceding the claim.

9.2 Excluded Damages

We are not liable for:

  • Indirect, incidental, or consequential damages

  • Lost profits or revenue

  • Data loss or corruption

  • Third-party claims

  • Business interruption

9.3 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

10. Data Protection & Privacy

10.1 Data Handling

  • We process data according to our Privacy Policy

  • Client data is stored securely

  • Regular security audits are performed

  • Data breach notification within 72 hours

10.2 Client Data Responsibility

  • Client is responsible for data accuracy

  • Client must obtain proper consents for data processing

  • Client must comply with applicable data protection laws

11. Dispute Resolution & Governing Law

11.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

11.2 Jurisdiction

Exclusive jurisdiction for any disputes lies with the state and federal courts located in Dallas County, Texas.

11.3 Dispute Process

  1. Informal negotiation (30 days)

  2. Mediation (if requested)

  3. Binding arbitration in Dallas, Texas

  4. Court action if arbitration fails

11.4 Class Action Waiver

All claims must be brought individually, not as class actions.

12. Termination & Service Cancellation

12.1 Termination by Client

  • Written notice required

  • No refunds for early termination

  • Data export available for 30 days post-termination

12.2 Termination by Company

We may terminate for:

  • Breach of these Terms

  • Non-payment

  • Illegal activity

  • Abuse of services

12.3 Survival

Sections 5 (Refund Policy), 8 (IP), 9 (Liability), and 11 (Disputes) survive termination.

13. Miscellaneous Provisions

13.1 Severability

If any provision is found invalid, the remaining provisions remain in effect.

13.2 Assignment

You may not assign these Terms without our written consent.

13.3 Waiver

Failure to enforce any provision does not constitute a waiver.

13.4 Notices

Notices must be in writing and sent to our contact email.
